精品文檔精心整理精品文檔可編輯的精品文檔合同（CONTRACT）合同號日期ContractNo:Date:地點(diǎn)Place:買方：Buyer:賣方：Seller:本合同有買賣雙方訂立，根據(jù)本合同規(guī)定的條款，買方同意購買，賣方同意出售下述商品：ThisContractismadebyandbetweentheBuyersandtheSellers,wherebytheBuyersagreetobuyandSellersagreetoselltheunder-mentionedcommodityonthetermsandconditionsstipulatedbelow:編號CAT說明DESCRIPTION數(shù)量QUANTITY單價UNITPRICE(5)生產(chǎn)國別制造廠商COUNTRYOFORIGINANDMANUFACTURERS：(6)裝運(yùn)期限TIMEOFSHIPMENT：(7)裝運(yùn)口岸PORTOFSHIPMENT：(8)到貨口岸PORTOFDESTINATION：(9)保險INSURANCE：(10)包裝PACKING:(11)嘜頭SHIPPINGMARK：(12)付款條件TERMSOFPAYMENT:(13)單據(jù)DOCUMENTSREQUIRED:賣放應(yīng)將下列單據(jù)提交付款銀行議付/托收貨款.如為電匯付款,下列單據(jù)應(yīng)直接寄給買方:TheSellshallpresentthefollowingdocuments(markedwith<x>)tothepayingbankfornegotiation/collection,ortotheBuyerincaseofpaymentbyT/T:1)<x>SignedCommercialInvoicein3copiesindicatingContractNo.2)<>FullsetofcleanonboardOceanBillsLadingmadeouttoorderandblankendorsed.marked“freightprepaid”,indicatingshippingmarksandnotifyingtheBuyer.<x>AirWaybillsshowing“freightprepaid”indicatingfreightamountandshippingmarksandconsignedtotheBuyer.3)<x>InsurancePolicy/Certificatefor110%oftheinvoicevalueshowingclaimspayableinChinaincurrencyofthedraft,blankendorsed,covering(<>OceanMarineTransportation/<x>AirTransportation)AllRisks,WarRisks.4)PackingListin3copiesindicatingquantity/grossandnetweights/measurementsofeachpackageandpackingconditions.5)<x>CertificateofQualityin2copiesissuedbythe<>manufacturer/<x>Publicrecognizedsurveyor.b)下列單據(jù)應(yīng)在發(fā)貨時與貨物一起交付承運(yùn)人或用快遞寄送買方.Ifnecessary,thefollowingdocumentshallbesentalongtogetherwiththeconsignment,orsenttotheBuyerbyexpressairmail.<x>Certificateof(Heat)TreatmentissuedbytheOfficialOrganization,orNon-coniferouswoodpackingmaterialissuedbytheSeller.c)貨物裝運(yùn)后一個工作日內(nèi),賣方應(yīng)傳真買方裝運(yùn)通知.Within1workingdayaftershipmentiseffected,theSellerfaxfreightshipmentnoticetothebuyer.(14)技術(shù)資料TECHNICALDOCUMENT:甲技術(shù)資料一套與貨物一起裝箱,運(yùn)交買方.Onesetoftechnicaldocumentsincludingoperationandservicemanualshallbepackedanddispatchedtogetherwiththegoods.1.Foundationdrawings3.Manufacturingdrawingsofeasilywornpartsc.WithintheguaranteeperiodstipulatedinClause16hereofshouldthequalityandorthespecificationofthegoodsbefoundnotinconformitywiththecontractedstipulations,orshouldthegoodsprovedefectiveforanyreasons,includinglatentdefectortheuseofunsuitablematerials．theBuyershallarrangeforaninspectiontobecarriedoutbytheBureauandhavetherighttoclaimagainsttheSelleronthestrengthoftheinspectioncertificateIssuedbytheBureau.(18)索賠解決方法SETTLEMENTOFCLAMS:IncasetheSellerareliableforthediscrepanciesandaclaimismadebytheBuyerwithintheperiodofclaimorqualityguaranteeperiodasstipulatedinclause16and17ofthiscontract,theSellershallsettletheclaimupontheagreementoftheBuyerinthefollowingways:同意買方退貨,并將退貨金額以成交原幣償還買方,并負(fù)擔(dān)退貨而發(fā)生的一切直接損失和費(fèi)用包括利息,銀行費(fèi)用,運(yùn)費(fèi),保險費(fèi),檢驗(yàn)費(fèi),倉租費(fèi)等一切其他費(fèi)用.AgreetotherejectionofthegoodsandrefundtotheBuyerthevalueofthegoodssorejectedinthesamecurrencyascontractedhereinandtobearalldirectlossesandexpensesinconnectiontherewithincludinginterestaccrued,bankingcharges,freight,insurancepremium,inspectioncharges,storageandallothernecessaryexpensesrequiredforthecustodyandprotectionoftherejectedgoods.Devaluatethegoodsaccordingtothedegreeofinferiority,extentofdamageandamountoflossessufferedbytheBuyer.Replacethedefectivegoodswithnewoneswhichconformtothespecifications,qualityandperformanceasstipulatedinthiscontract,andbearallexpensesincuredanddirectlossessustainedbytheBuyer.TheSellershall,atthesametime,guaranteethequalityofthereplacementgoodsforafurtherperiodof12monthsasspecifiedinClause16ofthiscontract.(19)人力不可抗拒的事故FORCEMAJEURE:TheSellershallnotbeheldresponsibleforanydelayindeliveryornondeliveryofthegoodsduetoForceMajeure.However,theSellershalladvisetheBuyerimmediatelyofsuchoccurrenceandwithinfourteendavsthereafter,shallsendbyairmailtotheBuyerfortheiracceptanceacertificateissuedbythecompetentgovernmentauthoritiesoftheplacewheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSeller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods-Incasetheaccidentlastsformorethantenweeks,theBuyershallhavetherighttocancelthiscontract.(20)遲交和罰款LATEDELIVERYANDPENALTY:Incaseofdelayeddelivery,exceptforforcemajeurecases,theSellershallpaytotheBuyerforeveryweeksofdelayapenaltyamountingto0.5%ofthegoodswhosedeliveryhasbeendelayed.Anyfractionalpartofaweekistobeconsideredafullweek.Thetotalamountofpenaltyshallnot,however,exceed50%ofthetotalvalueofthegoodsinvolvedinlatedeliveryandistobedeductedfromtheamountduetotheSellerbythepayingbankatthetimeofnegotiation,orbytheBuyerdirectatthetimeofpayment.Incasetheperiodofdelayexceeds10weeksafterthestipulateddeliverydatetheBuyerhavetherighttoterminatebuttheSellershallnottherebybyexemptedfromthepaymentofpenalty.(21)仲裁ARBITRATION:Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledthroughfriendlynegotiations.Incasenosettlementcanbereachedthroughnegotiations,thecaseshouldthenbesubmittedforarbitrationtoChinaInternationalEconomicandTradeArbitrationCommission，ShanghaiCommissioninaccordancewiththerulesinforceofthesaidcommission.ThearbitrationshalltakeplaceinShanghaiandtheawardrenderedbythesaidcommissionshallbefinalandbinginguponbothparties.Thearbitrationfeeshallbebornebythelosingparty.(22)適用法律GOVERNINGLAW:ThiscontractshallbegovernedandconstruedforitsmeaningandeffectinaccordancewiththesubstantivelawsofthePeople'sRepublicofChina.(23)附注REMARKS：（24）補(bǔ)充條款SUPPLEMENTARYCONDITIONS：（25）合同生效EFFECTIVENESSOFTHISCONTRACT：Thiscontractshallcomeinto
