IRREVOCABLECOMMISSIONAGREEMENT傭 金 協 議本傭金協議書于2023年08月 日在中國北京由雙方在公平互利根底上達成，按雙方同意的以下條件進展業務關系：ThisCommissionAgreement(“Agreement“)isbetweenthepartiesconcernedon August 2023inBeijing,Chinaonthebasisofequalityandmutualbenefittodevelopbusinessontermsandconditionsmutuallyagreeduponasfollow:Inconsiderationofthemutualagreementsandcovenantshereincontained,thepartiesheretoagreeasfollows:合約號碼:ContractNo.:協議開頭日期: AGREEMENTINITIATIONDATE:本協議從 ,2023開頭生效。 agreemententersintoforceon ,2023.協議方: PARTIES:本協議涉及以下各方:Thisagreementismadeandenteredbyandbetween:甲方:PARTYA:地址:ADDRESS:國家:COUNTRY:TEL:FAX:電子郵件E-MAIL:AND和乙方:PARTYB:地址:ADDRESS:國家:COUNTRY:TEL:FAX:電子郵件E-MAIL:委任：Appointment甲方指定乙方為其在中國的全權選購代理，選購甲方指定的烯烴芳烴加氫和異構化催化劑，瓦斯油〔AGO+VGO〕脫硫催化劑，石腦油加氫催化劑〔詳見產品選購合同〕。ThePartyAappointsthePartyBasitsExclusivePurchasingAgencyinChina,purchasingthegoodsasPartArefers.Olefins,AromaticsHydrogenationandIsomerisationCatalysts，GasOilNaphthaHydrotreaterCatalyst.(DetailsasperPurchaseContract)雙方的職責：Dutiesoftwoparties:甲方所需的選購業務應提交給乙方具體的選購產品信息，比方材質、尺寸、數量、品質等具體要求。PartyAshallprovidealltheinformationofthepurchasingproductstoPartyB,suchasmaterial,size,quantity,qualityandotherconcreterequirements.乙方向甲方供給選購產品客戶信息，代理信息，代理租船參謀業務等。負責落實甲方選購產品資源，渠道和談成供貨意向一并介紹給甲方。PartyBshallprovidePartyAcustomersinformationandagentinformation, consultancyserviceonagentschartering.Besides,heshallfindandconfirmtheproductsresourcesandsupplychannel,thenintroducetheseinformationtotallytoPartyA.因甲方購置的產品涉及專利產權和產品生產者指定代理的狀況，乙方負責促成甲方與產品生產者或產品生產者代理商之間簽署選購協議，實現貿易，并負責為甲方對選購產品取樣、驗貨、出貨等的環節進展效勞。PartyBshallhelpandfacilitatePartyAsignthePurchasingAgreementwiththesuppliersoragents,alsoshouldprovideservicesinmanyaspects,suchassampling,inspection,deliveryandothermatters.貨款的支付方式：Paymentofgoods者代理商之間直接簽署選購協議，貨款支付方式由協議雙方協商達成全都。PartyAwillsignPurchasingAgreementdirectlywithproducersoritsagents,andthepaymenttermofgoodswillbenegotiatedandagreedbyPartyAandtheSeller.Commissioncalculation,paymentmethods,paymenttime甲方同意依據選購產品總金額的〔1-5〕%支付傭金給乙方，支付日期為付款給賣方的同一天，支付第一筆貨款的同時向乙方全額支付選購產品總金額的傭金。ForthePurchasingAgent”sservices,thePartyAshallpaythePartyBthefollowingcommissionpercentage:(1-5)%ofPartspurchasingaggregateamountoftheinvoicevalu,simultaneouslywithinthesamebankingdayasthepartyAmakespaymenttotheSeller.CommissionshouldberemittedtoPartyB’sdesignatedbankaccount.IfthePartyAmakesadvancepaymentstotheSellerorpaymentbyinstallments,heshouldpaythecommissiontoPartyBsimultaneouslywiththefirstpaymenthemadetotheSeller.違約責任：甲方假設不按本合同第6條的執行，逾期一天應支付乙方滯納金，滯納金系數為：總傭金的5‰/天。PartyAifnotinthisagreementandarticle6,executionofexpireddayshallpaypartyBoverduefine,finefordelayingpaymentcoefficientfor:thetotalcommission5‰/day.協議的修改：Modification此協議書只有經雙方共同簽字后才能作修改，ThisAgreementmaynotbemodifiedexceptbyamendmentreducedtowritingandsignedbybothParties.不行抗力：ForceMajeure由于水災、火災、地震、干旱、戰斗或協議一方無法預見、掌握、避開和抑制的其他大事導盡快將發生的大事通知另一方，并在不行抗力大事發生15天內將有關機構出具的不行抗力大事的證明寄交對方。Eitherpartyshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthisagreementduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelativeparty.However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftersendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.仲裁： Arbitration交中國國際經濟貿易仲裁委員會(北京)，依據其仲裁規章進展仲裁。仲裁裁決是終局的，對雙方都有約束力，仲裁費用，除另有規定外，由敗訴一方負擔。Alldisputesarisingfromtheperformanceofthisagreementshallbesettledthroughfriendlynegotiation.Shouldnosettlementbereachedthroughnegotiation,thecaseshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommission(Beijing)andtherulesofthisCommissionshallbeapplied.Theawardofthearbitrationshallbefinalandbindinguponbothparties.Arbitrationfeesshallbebornebythelosingparty,unlessotherwiseawarded.協議有效期： ValidityofAgreement本協議經有關雙方如期簽署后生效，有效期為 年，從2023年08月日到年月日。Thisagreement,whendulysignedbythebothpartiesconcerned,shallremaininforcefor fromAugust,2023toXX ,XX.協議的終止：Termination在本協議有效期內，假設一方被覺察違反協議條款，另一方有權終止協議。Duringthevalidityofthisagreement,ifeitherofthetwopartiesisfoundtohaveviolatedthestipulationsherein,theotherpartyhastherighttoterminatethisagreement.202308月日在北京簽訂，一式兩份，雙方各執一份。ThisAgreementissignedon...inBeijingandisintwooriginals；eachPartyholdsone.甲方與產品生產者或產品生產者代理商
