InternationalTradeContract

ThisInternationalTradeContract(hereinafterreferredtoas"theContract")ismadeandenteredintoon[date],byandbetween[PartyA],acompanyorganizedandexistingunderthelawsof[country],withitsprincipalplaceofbusinessat[address],and[PartyB],acompanyorganizedandexistingunderthelawsof[country],withitsprincipalplaceofbusinessat[address].

WHEREAS,PartyAisengagedinthebusinessofmanufacturingandexporting[products],andPartyBisinterestedinpurchasingsaidproductsforresalein[country];

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesagreeasfollows:

1.SubjectMatter

PartyAagreestomanufactureandsupply[products]inaccordancewiththespecifications,quality,andquantityagreeduponbybothparties.PartyBagreestopurchasethesaidproductsandimporttheminto[country]forresale.

2.SpecificationsandQualityControl

Thespecifications,qualitystandards,andtestingmethodsfortheproductsshallbemutuallyagreeduponbybothparties.PartyAshallensurethattheproductsconformtotheagreedspecificationsandqualitystandards.PartyBshallhavetherighttoinspectandtesttheproductsbeforeshipmentandrejectanynon-conformingproducts.

3.PriceandPaymentTerms

Thepricefortheproductsshallbeagreeduponbybothpartiesinwriting.PaymentshallbemadebyPartyBtoPartyAasfollows:[paymentterms,e.g.,30%deposituponsigningthecontract,70%balanceuponreceiptofthegoods].Allpaymentsshallbemadein[currency].

4.PackagingandShipment

PartyAshallberesponsibleforpackagingtheproductsinasuitablemannertoensuretheirsafetransportation.Theproductsshallbedeliveredtothedesignatedportofshipmentasagreeduponbybothparties.AnycostsandrisksassociatedwiththetransportationandinsuranceoftheproductsshallbebornebyPartyB.

5.DeliveryTime

PartyAshallmakeitsbesteffortstodelivertheproductswithintheagreedtimeframe.However,PartyAshallnotbeliableforanydelayindeliverycausedbyfactorsbeyonditscontrol,suchasactsofGod,governmentregulations,ortransportationdelays.

6.IntellectualPropertyRights

PartyAwarrantsthatithasthenecessaryrightsandlicensestomanufactureandselltheproducts.PartyBshallrespectandnotinfringeuponanyintellectualpropertyrightsownedbyPartyA.

7.Confidentiality

BothpartiesagreetokeepallconfidentialinformationreceivedfromtheotherpartyinconnectionwiththisContractconfidentialandnotdiscloseittoanythirdpartywithoutpriorwrittenconsent.

8.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[country].AnydisputearisingoutoforinconnectionwiththisContractshallbesettledamicablythroughnegotiationsbetweentheparties.Ifthedisputecannotberesolvedthroughnegotiations,itshallbesubmittedtoarbitrationinaccordancewiththerulesof[arbitrationinstitution],andthedecisionofthearbitrator(s)shallbefinalandbinding.

9.EntireAgreement

ThisContractrepresentstheentireagreementbetweenthepartiesandsupersedesallpriororalorwrittenagreements,understandings,orrepresentations.AnymodificationtothisContractshallbeinwritingandsignedbybothparties.
